Spring into Shade - Conditions of Offer to Manufacturers and Fabricators

 

To participate in the Promotion, Manufacturers and Fabricators agree to be bound by these Conditions of Offer.

 

The Offer

Selected manufacturers and fabricators of roller shutters, awnings, vertical blinds and external screens who purchase designated Somfy Motors during the Promotion Period (Customer(s)) will receive a 5% discount on a Customer’s current contract price with Somfy (5% Discount Offer).

To further encourage Somfy Experts and other retailers to purchase roller shutters, awnings, vertical blinds, external screens powered by Somfy Motors (Finished Products), from the selected manufacturers and fabricators, Somfy will, at no charge, supply the Somfy Experts and other retailers with one (1) EOLIS RTS SENSOR #1816068 or one (1) SITUO 2 RTS SILVER #1811419 (Retail Reward) for each project, residence or commercial premises in respect of or for which the Somfy Experts or other retailers have purchased Finished Products (Location).

Pricing and 5% Discount Offer

The 5% Discount Offer will be applied in the Invoice issued by Somfy for the Somfy Motors purchased by each Customer. Somfy reserves the right to chargeback (debit to a Customer’s account with Somfy) the full amount of any discount applied by Somfy in respect of Somfy Motors returned by a Customer to Somfy for credit or if a Customer has not paid the Invoice in accordance with Somfy’s credit terms as set out in Somfy’s Terms of Trade.

 

Availability of Somfy Motors

To ensure that there are sufficient Somfy Motors available for each of the Customers, each Customer’s purchases of Somfy Motors during the promotion Period shall be capped at 300 units, unless otherwise agreed in writing by a Customer and Somfy.

 

Customers support for Retail Promotion

Somfy hopes that Customers will take advantage of the 5% Discount Offer and promote their products incorporating Somfy Motors and the Retail Reward to Somfy Experts and other retailers. To this end, Somfy will provide Customers with marketing templates to support such promotion.

With each purchase of Somfy Motors,  Somfy will provide Customers with a range of unique codes – one unique code per Somfy Motor purchased. Customers will in turn provide Somfy Experts and other retailers with one unique code on account of each Location.

The Somfy Experts or other retailers will then use this unique code to apply to Somfy for a Retail Reward which should be passed on to project owner or resident or commercial occupier of the Location.

 

Any personal information gathered by Somfy in the context of this Promotion shall be collected and used for the purposes of this Promotion, assumed to be given with consent and shall be treated in accordance with Somfy’s Privacy Statement.

 

Promotion Period Extension

If the volume of a Customer’s purchases of Somfy Motors during the Promotion Period is at least 25% higher than that Customer’s purchases of Somfy Motors during the period from 15 September 2024 through to 30 November 2024, then the 5% Discount Offer to that Customer will be extended out to 28 February 2026 (Extension). Note that the offer of Retail Rewards will not be extended beyond the Promotion Period.

 

Continuing Relationship

Each Customer acknowledges that they are already contractually bound by the terms of Somfy’s Account and Credit Application (formerly Application for Credit or other predecessor document) previously executed and submitted by Customer to Somfy; and Somfy’s Terms of Trade ; Somfy’s Warranty Statement  and Somfy’s Privacy Statement. Customers agree that the terms of this Promotion do not vary or derogate from the application of the Account and Credit Application, the Terms of Trade, the Warranty Statement and the Privacy Statement.

 

General Conditions

Somfy has no involvement in the contractual arrangements negotiated between Customers and Somfy Experts and other retailers. Customers agree that Somfy does not bear any responsibility in connection with or arising from such negotiations and contractual arrangements.

If for any reason beyond Somfy’s reasonable control this Promotion is not capable of being conducted as planned, Somfy reserves the right in its sole discretion to take any action that may be available to it, and to cancel, terminate, modify, or suspend the Promotion, unless to do so would be prohibited by law.
